Benefits
401(k) Tax Deferral Investment Plan
NetApp's 401(k) allows employees to make pre-tax contributions
of a portion of their income into a retirement investment account.
Participating employees pay no taxes on their payroll contributions
(or gains on these contributions) until they take a distribution.
In addition, NetApp matches employee contributions by up to $3,000
per year based on a specified formula. Employees become eligible
on the first day of regular employment. Employees may rollover
funds from previous 401(k) programs.
New Hire Stock Options
As part of the overall compensation philosophy, NetApp offers
new hire stock option grants to all new regular employees. The
number of options granted will vary depending on an employee's
job position and level and is in addition to the employee's base
salary and participation in the annual incentive program. The
new hire stock option program gives employees the option to purchase
a specified number of shares of NetApp Common Stock over the
term of the option at a specified price. Upon approval, all new
hire stock option grants will be effective and priced (fair market
value at the close of the stock market) on the 15th of each month
(or the next business day, should the 15th fall on a weekend
or holiday) for the previous month's new hires.
Employee Stock Purchase Plan (ESPP)
The ESPP is a payroll deduction plan that allows eligible NetApp
employees to purchase shares of NetApp Common Stock (Nasdaq:
NTAP) twice a year at a discount from the market price. All full-time
NetApp employees are eligible to enroll in the plan at the first
enrollment date following their employment with NetApp. The maximum
contribution amount is 10% of cash earnings.

Sick Pay
NetApp provides paid sick time for an employee's short-term incapacitation
due to non-work related illness or injury. The accumulation rate
is 3.08 hours per pay period. The maximum accumulation is 240
hours.
Disability
The company also provides employees income protection for extended
periods of time when an employee cannot perform the duties of
his/her occupation due to a non-work related injury or illness.
Short- and long-term disability are provided at no cost to the
employee.
Life Insurance and AD&D Highlights
The company provides all full-time, regular employees life insurance
and AD&D coverage at no cost to the employee. This coverage

Coverage: The amount of AD&D benefits
is equal to the amount of standard life insurance.
In the event of a death, the benefits will
be paid to the beneficiary named for Life Insurance. Benefits
will be paid to the employee if an injury or other loss occurs.
Flexible Spending Plan
Network Appliance provides employees with the option of participation
in the Flexible Spending Plan. This plan runs on a calendar year
with an open enrollment every December for the following year.
Employees can choose to contribute pre-tax dollars into the Health
Care or Dependent Care Account.
Mass Transit and Parking
